1. Agreement to Terms

By accessing or using the website xpiderz.com (the "Site") and any services provided by Xpiderz, operated by EdgeFirm LTD. ("we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not access or use our Site or services.

2. Services

Xpiderz provides AI development, consulting, and related technology services. The specific scope, deliverables, timeline, and pricing of services will be outlined in a separate Statement of Work (SOW) or service agreement between Xpiderz and the client.

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for the delivery of services
  • Respond to requests for feedback, approvals, and materials in a timely manner
  • Ensure that any data, content, or materials provided to us do not infringe upon third-party rights
  • Maintain the confidentiality of any credentials or access provided to you

4. Intellectual Property

Client Ownership

Upon full payment, you will own all custom code, models, and deliverables created specifically for your project, unless otherwise specified in the SOW.

Xpiderz Ownership

We retain ownership of:

  • Pre-existing tools, frameworks, libraries, and methodologies
  • General knowledge, skills, and experience gained during the engagement
  • Any reusable components or templates not created exclusively for your project

Portfolio Rights

Unless otherwise agreed in writing, we reserve the right to display and reference the project in our portfolio, case studies, and marketing materials.

5. Payment Terms

  • Payment terms will be specified in the SOW or service agreement
  • Invoices are due within 14 days of issuance unless otherwise agreed
  • Late payments may incur interest at a rate of 1.5% per month
  • We reserve the right to suspend work if payments are overdue by more than 30 days

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the agreement for a period of two (2) years.

Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

To the maximum extent permitted by law, Xpiderz and EdgeFirm LTD. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to the use of our services.

Our total aggregate liability shall not exceed the total fees paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

9. Termination

Either party may terminate the engagement:

  • With 14 days written notice for convenience
  • Immediately if the other party materially breaches these terms and fails to cure within 10 days of written notice
  • Immediately if the other party becomes insolvent or enters bankruptcy proceedings

Upon termination, you will pay for all services rendered up to the termination date. Any deliverables completed and paid for will be transferred to you.

10. Indemnification

You agree to indemnify and hold harmless Xpiderz, EdgeFirm LTD., and their officers, directors, employees, and agents from any claims, damages, or expenses arising from your breach of these terms or your use of our services.

11. Force Majeure

Neither party shall be liable for any delay or failure to perform obligations due to events beyond reasonable control, including natural disasters, war, terrorism, pandemic, government actions, or infrastructure failures.

12. Use of the Site

You agree not to:

  • Use the Site for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Site
  • Transmit any viruses, malware, or harmful code
  • Scrape, crawl, or use automated tools to access the Site without permission
  • Reproduce, distribute, or modify any content on the Site without written consent

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
